GINGRCO, LLC will be shooting an Mini Session for The Client. The session will last approximately 60minutes and will occur at a previously agreed upon location. The client will receive approximately fifteen (15) high-resolution edited digital files electronically. The Client and photographer will agree on a date best for The Client to receive their digital files.
It is understood and agreed that GINGRCO, LLC will be providing a exclusive photographer to perform the requested portrait services, although the photographer reserves the right to retain the services of individuals to assist them in completing your requested portrait session, at no additional cost to you.
DAY OF THE SESSION
You agree that you will be dressed in your desired outfit, and arrive on time to the chosen location. If you are late and do not communicate with your photographer, time will be taken from your session or charged under “Extra Time” herein, at the sole discretion of GINGRCO, LLC. Friends and family are welcome, so long as they do not interfere with the photographer and the photography taking place. Pictures with friends or family are not permitted unless it has been discussed previously with the approval of the photographer.
LOCATION COSTS + FEES
If there are any costs/fees associated with the location the client has chosen for their session, you, the client, will be responsible for those fees. The photographer will not guarantee or arrange payment on any location.
PAYMENT
Effective June 1st 2020, GINGRCO, LLC will be transitioning contactless payment methods instead of paper money or written checks.
Payments towards Mini Sessions services with GINGRCO are required in advance. To ensure The Client can be serviced, clients can book their non-refundable session up to six hours prior to their desired service time slot.
Online payments through GINGRCO’s platform or via Cash App, PayPal or Venmo are accepted forms of payment.
You may not downsize to a smaller package after you have paid the deposit for that package. However, you may upgrade to a larger package at any time, though it excludes any of the outfit changes. Separate charges will apply for the specified package.
Client agrees to pay photographer full deposit at the time of booking to secure their appointment date and time. All payments are due in full unless payment arrangements have been made. Images will not be processed and/or prints will not be ordered until payment in full is received.
EXTRA TIME
GINGRCO, LLC Mini Services are considered mini sessions and, because mini sessions are scheduled on a very tight basis, any amount of time the client is late will be deducted from their session. Client agrees to try to arrive 10 minutes before their time slot to prevent this. If it is not possible for a session to take place on a scheduled day due to weather, Photographer and Client will reschedule on an agreed date at the earliest date possible, with no additional charge.
In the event that the photographer is running late, clients will receive 20% off on their final invoice and an additional free hour of work from GINGRCO, LLC. This additional free hour, can be used either the day of service or for any future date agreed upon between the photographer and the client. Any additional time spent due to the lateness of the client, retouching, or editing, that are not otherwise paid for under this Contract shall be charged at the rate of $100 per hour. GINGRCO, LLC may elect to perform these services or refuse them, at its sole discretion. Client agrees to pay these services as invoiced, and may be required to pay for these services ahead of their provision.
NO SHOWS
If the client does not show up for their appointment, without contacting their photographer 4 hours in advance, the client will be considered as a “no show”. GINGRCO, LLC is not responsible if Client and/or key individuals fail to appear or cooperate during portrait sessions. If it is not possible for a session to take place on a scheduled day due to weather, Photographer and Client will reschedule on an agreed date at the earliest date possible, with no additional charge.
In the event that a client does not show up for their session, all sales are final and GINGRCO, LLC will not refund any payments made. However, if the client would like to reschedule this session, GINGRCO, LLC will transferred funds paid to the new session date. Arranges on new session dates must be made within 5 business days of the original session, if not and a new package will need to be purchased. All sales will still remain non-refundable.
CANCELLATIONS
Client understands that by entering into this agreement, GINGRCO, LLC is foregoing other photographic jobs. In the event of a cancellation or postponement of the portrait session/agreement by Client, the amounts paid are non-refundable. Deposits are transferable if a date change is necessary. Seventy-two (72) hours notice of postponements or cancellations is appreciated.
If GINGRCO, LLC cannot perform this contract due to fire or other casualty, act of nature, or other cause beyond the control of the photographer, or due to the photographer’s illness or emergency, then GINGRCO, LLC shall refund your deposit and shall have no further liability with respect to this contract. This limitation on liability shall also apply in the event that photographic images are damaged in processing, lost through camera malfunction, or otherwise lost or damaged without fault on the part of the photographer. In no event shall GINGRCO, LLC be liable to you for any amount in excess of your session fee.
REFUNDS
All sales are final. If you are not satisfied with your photos, and the issue stems on the photographers end, GINGRCO, LLC will reschedule a new session free of charge. You will only be eligible if you have made this known to the photographer before any retouching is made and only if the photographer agrees that it is appropriate.
If you choose to re-do your photos for any reason, it will be considered as a new session and you will need to purchase a new package. All sales are final. In the event of an emergency, equipment failure or other unforeseen circumstance, the photographer will return any money given up to that point but claims no further liability. Client(s) agree that an entire wedding/event cannot be replicated, reenacted or repeated for the purpose of a re shoot.
All sessions booked at a sales rate are non-refundable. However, GINGRCO, LLC will honor your session by rescheduling it at no further cost.
RELATIONSHIP OF PARTIES
It is understood by the parties that GINGRCO, LLC is an independent contractor with respect to Client, and not an employee of Client.
GINGRCO, LLC will not sell any information that is proprietary to Client. GINGRCO, LLC and its employees, agents, and representatives will protect such information and treat it as strictly confidential. A “sneak peek single image” of the session will be posted on social media. The session may also be blogged. If this is not desired, the wishes of the Client will be respected by GINGRCO, LLC. This provision will continue to be effective after the termination of the Contract.
COPYRIGHT
All images and copyrights are the exclusive property of GINGRCO, LLC. GINGRCO, LLC retains the right to use, copy, display and/or publish any or all of the images taken during any portrait session for portfolio use to the general public for any reason, including but not limited to website and blog usage, internal and external advertising and marketing usage, promotional materials, educational and product demonstrations, and image competitions, whether or not any such usage is for monetary gain.
However, GINGRCO, LLC grants copyright to The Client obtaining prints for personal use of their blog, website and social media. GINGRCO, LLC does not permit The Client to give photos to vendors having their products or setups photographed in order to use for advertising or promotion without permission of GINGRCO, LLC.
Please note for digital sessions you do receive a Right of Reproduction which will allow you to make prints of all digital images but copyright is always retained by the original creator.
Prints for publication (such as editorial, public relations or advertising use) require prior written consent from Photographer. A credit line which reads “Sanglui Azang-Njaah” in type no smaller than that of the related text must appear adjacent to or within all permitted published photographs.
EXHIBITION
Client grants Photographer permission to display selected images resulting from this assignment as an example of Photographer’s work and for entrance into photographic competitions and releases all claims to profits that may arise from use of images.
LIMIT OF LIABILITY
We take the utmost care with respect to the exposure, retouching, and transportation of digital captures, proofs and prints. However, in the unlikely event that all the originals are lost, stolen, damaged or destroyed within or beyond Photographer’s control, Photographer’s liability is limited to the refund of all payments received, or a reshoot can be scheduled at no additional cost. The limit of liability for partial loss or damage of originals shall be a prorated amount of the total amount, based on the percentage of originals lost or damaged. In the unlikely event that Photographer is injured or becomes too ill to attend the portrait session, Photographer will make every effort to reschedule to the earliest possible date.
PHOTO REORDERING & TIME FRAME
You may reorder more photos from your session by purchasing your digital files. To keep organized and conserve space, your photos may be deleted or unavailable 100 days after your session has taken place, and you waive any and all claims against GINGRCO, LLC for the unavailability of such photos, even if you must replace them at your own cost. Therefore, it is recommended you pick your poses out and finalize your choices with the photographer as soon as possible.
ENTIRE CONTRACT
By your entering into this contact, you acknowledge that GINGRCO, LLC shall provide the requested photography services to you to the best of its abilities based upon your selected mini-portrait session. This agreement contains the entire understanding between Photographer and Client. It supersedes all prior agreements between the parties. The only way to add or change this agreement is to do so in writing, signed by all the parties. Every effort will be made to assure your satisfaction in accordance with accepted industry standards.
