DESCRIPTION OF THE SERVICES
The designer will design an e-commerce website for ___________, the Client, by providing the design and photography services in a professional and timely manner. The parties may at any time modify the scope of the services by including designer’s changes in a written “Change order” that explains the changes and the adjustment to the payment for the Services that will result from such changes. The “change order” shall become effective when signed and dated by both parties.
TERM & SCHEDULING
The Designer estimates reaching satisfactory completion of the Services within 8 - 10 weeks of the Effective Date.
The term “satisfactory completion” of the Services means when the software and documentation developed for the Website performs to the specifications set forth are pending the approval of the Client. This estimation does not include time during which the Designer must wait for the Client to provide materials or information necessary for the completion of the Services. The Designer agrees to notify the Client of any anticipated delays in completing the Services.
DESIGN TEAM
It is understood by the parties that GINGR CO is an independent contractor with respect to The Client, and is not an employee of The Client. GINGR CO will not sell any information that is proprietary to The Client. GINGR CO and its employees, agents, and representatives will protect such information and treat it as strictly confidential.
The Designer will use only qualified personnel to provide the services. The Designers reserves the right to make changes to the Design Team in its sole discretion. The orientation of any replacement personnel shall be at the Designer’s expense.
A “sneak peek” single image of this project may be posted on social media and the project may also be blogged. If this is not desired, the wishes of The Client will be respected by GINGR CO. This provision will continue to be effective after the termination of the contract.
PAYMENT
In consideration for the Services, The Client will pay the Designer $1,750. Sixty percent of the payment is non-refundable and is due at the time this agreement is signed. Final payment is due upon the Designer completing the website and obtaining the Client’s approval that the Services have been fulfilled as per the Agreement.
Cash, online payment (PayPal) or personal checks are accepted forms of payment. Checks must be written out to GINGR CO and mailed 9 business days prior to The Client’s Effective Date. No projects, edits or work will begin or be delivered until funds have been cleared. Returned checks are subject to a $35 charge.
TERMINATING OF CONTRACT
The client understands that by entering into this agreement, GINGR CO is foregoing creative jobs. In the event of a cancellation or postponement of the web design services/agreement by the Client, the amounts paid are non-refundable.
If The Designer, provided by GINGR CO cannot perform this contract due to fire or other casualty, act of nature, or other cause beyond the control of the designer, or due to the designer’s illness or emergency, then GINGR CO shall refund your deposit and shall have no further liability with respect to this contract. This limitation on liability shall also apply in the event that digital content is damaged in processing, lost through camera/laptop malfunction, or otherwise lost or damaged without fault on the part of the designer. In no event shall GINGR CO be liable to you for any amount in excess of your web design fee.
ENTIRE CONTRACT
By entering into this contract, you acknowledge that GINGR CO shall provide the requested Web Design Services to you to the best of its abilities based upon your selected “Classic” package". This agreement contains the entire understanding between The Designer and The Client. It supersedes all prior agreements between the parties. The only way to add or change this agreement is to do so in writing, signed by all the parties. Every effort will be made to assure your satisfaction in accordance with accepted industry standards.
By your booking, you agree that you have carefully read and understood the terms and conditions as stated above.
