DESCRIPTION OF THE SERVICES
The Designer will design a website for the Client by providing professional web design services in a timely manner. The parties may modify the scope of the Services at any time by executing a written Change Order that details the requested changes and any corresponding adjustment to the payment. A Change Order becomes effective only when signed and dated by both parties.
Point of Contact: The Designer will coordinate with the Client’s designated representative(s) for the duration of the project.
DESIGN TEAM
The Designer will use only qualified personnel to provide the Services and reserves the right to make changes to the Design Team at its sole discretion. The orientation of any replacement personnel shall be at the Designer’s expense.
INDEPENDENT CONTRACTOR & CONFIDENTIALITY:
It is understood that GINGRCO is an independent contractor with respect to the Client and is not an employee of the Client. GINGRCO will not sell or disclose any information that is proprietary to the Client. GINGRCO, its employees, agents, and representatives will treat such information as strictly confidential.
GINGRCO may showcase this project in its online portfolio, website, or social media. The Client retains the right to document the project on their own platforms. If the Client does not wish for the project to be publicly shared by GINGRCO, they must notify GINGRCO in writing prior to publication. This confidentiality and promotional provision shall survive the termination of this Agreement.
TERM & SCHEDULING
The Designer estimates that the Services will reach satisfactory completion within eight to twelve weeks of the Effective Date (the date the Client’s initial payment is received). “Satisfactory completion” means that the website and any related deliverables perform according to the specifications outlined in this Agreement and are approved by the Client. This timeline does not include any delays caused by the Client’s failure to provide materials or information necessary for completion.
The Client has requested that the project be completed by January 1, 2026. The Designer agrees to notify the Client promptly of any anticipated delays in completing the Services.
PAYMENT
In consideration for the Services, the Client will pay the Designer $2,000.00.
Deposit: Sixty percent (60%) of the payment ($1,200) is non-refundable and due at the time this Agreement is signed.
Final Payment: The remaining forty percent (40%) ($800) is due upon the Designer completing the website and obtaining the Client’s approval that the Services have been fulfilled.
Payment may be made via check, Zelle, or Cash App. Checks must be written to Sanglui Azang-Njaah and received before work begins. No work or deliverables will be initiated until funds have cleared. Returned checks are subject to a $35 fee.
TERMINATING OF CONTRACT
The Client understands that by entering into this Agreement, GINGRCO is foregoing other jobs. In the event of a cancellation or postponement of the web design services by the Client, any amounts paid are non-refundable.
If GINGRCO is unable to perform this Agreement due to fire, natural disaster, or any other cause beyond its reasonable control, or due to the Designer’s illness or emergency, any deposit paid will be refunded, and GINGRCO shall have no further liability under this Agreement. This limitation of liability also applies in the event that digital content is lost or damaged due to hardware or software failure, or any other circumstance beyond GINGRCO’s control.
In no event shall GINGRCO be liable for any amount in excess of the total web design fee paid by the Client.
ENTIRE CONTRACT
By entering into this Agreement, the Client acknowledges that GINGRCO will provide the requested Web Design Services to the best of its abilities. This Agreement contains the entire understanding between GINGRCO and the Client and supersedes all prior agreements. Any modifications to this Agreement must be made in writing and signed by both parties.
GINGRCO will perform the Services in accordance with accepted industry standards. By signing this Agreement or making a booking, the Client confirms that they have carefully read and understood the terms and conditions stated herein.
